1. Acceptance of These Terms
These Terms & Conditions ("Terms") govern your use of services provided by Trade Reach ("Trade Reach", "we", "us", "our"). By engaging Trade Reach for any service — including a website build, AI Receptionist, Local SEO, or Google Ads management — you ("Client", "you") agree to be bound by these Terms.
If you do not agree to these Terms, please do not engage our services. We may update these Terms from time to time in accordance with Section 15.
2. About Trade Reach
Trade Reach is operated by Ashton Mann, trading as Trade Reach, ABN 83 491 207 088, based in Queensland, Australia. Trade Reach builds and manages websites and supporting digital tools for Australian trade businesses.
3. Our Services
Trade Reach offers the following services, which can each be engaged on their own or together:
- Website: design, build, hosting and ongoing management of a custom website for your trade business.
- AI Receptionist: an AI-powered call and chat answering service that responds to customer enquiries on your behalf.
- Local SEO: management of your Google Business Profile and related local search presence.
- Google Ads: setup and ongoing management of Google Ads campaigns on your behalf.
The specific services included in your engagement are those you select at sign-up or as otherwise agreed in writing.
We do not guarantee any specific number of leads, jobs, search rankings or return on investment from any service. Results depend on factors such as your trade, area, competition and season.
4. Service Term & No Lock-In
Services are provided on either a month-to-month subscription or a yearly subscription, as you choose at sign-up. There is no lock-in contract. A monthly subscription continues until cancelled by either party in accordance with Section 6. A yearly subscription covers twelve months paid upfront and ends at the close of that period unless renewed.
5. Fees & Payment
Fees for your selected services are billed monthly (or yearly, if you choose yearly billing) in advance, in Australian dollars. Trade Reach is not currently registered for GST, so no GST is added to our fees. If that changes, we will give you notice before GST is added. Payments are processed securely by Stripe, automatically via the payment method you provide, as a monthly recurring payment or a one-off yearly payment.
If a payment fails, we will attempt to notify you and may suspend services, including taking your website offline or pausing your AI Receptionist and ad campaigns, until payment is resolved.
Where Google Ads management is included, any advertising spend is separate from our management fee and is paid by you directly to Google. Ad spend arrangements will be confirmed with you before your campaign goes live.
AI usage costs for the AI Receptionist are separate from our subscription fee. They vary by the AI model you choose and are paid by you.
We may change our fees by giving you at least 30 days' written notice. The change applies from your next billing period, and you may cancel before it takes effect.
6. Cancellation
You may cancel your subscription at any time by emailing us at the address in Section 17. A yearly subscription is not renewed unless you agree to renew it. Cancellation takes effect at the end of your current billing period — we do not provide refunds for partial billing periods already paid. Yearly subscriptions are paid upfront and are non-refundable once paid.
Upon cancellation, your website will be taken offline and your AI Receptionist, Local SEO management and Google Ads management (where applicable) will cease. Your data remains yours: on request we will export it to you within 30 days of cancellation. We will retain a copy of your website and account data for a reasonable period following cancellation in case you wish to reactivate, after which it may be deleted in accordance with our Privacy Policy.
We may suspend or end your services if you do not pay, or if you breach these Terms or the Acceptable Use rules in Section 12. We will tell you why where we reasonably can.
7. Website Ownership & Intellectual Property
The content you provide us (such as your logo, business information, photos and testimonials) remains your property. The underlying website template, design system, code structure and any proprietary tools we use to build and manage your site remain the property of Trade Reach.
While your subscription is active, you have full use of your website for your business. If you cancel, our license to host and display your site ends, and you do not retain a right to the underlying Trade Reach template or code independent of that hosting arrangement, unless we separately agree in writing (for example, an asset handover arrangement).
8. AI Receptionist — Specific Terms
The AI Receptionist uses automated, AI-generated responses to answer calls and chat messages. While we configure it carefully for your business, it may occasionally misunderstand a query, provide an incomplete answer, or fail to resolve an enquiry that a human would have handled differently. You should treat it as a tool that reduces missed enquiries, not a guarantee that every interaction will be handled perfectly.
Call recording and transcription: calls handled by the AI Receptionist may be recorded and transcribed in order to answer the call, log the enquiry in your dashboard, and improve service quality. It is your responsibility to ensure any recorded-line notice required under the law of your state or territory is provided to your callers where applicable. We are happy to advise on how the notice is delivered technically, but you remain responsible for confirming your obligations with a legal adviser.
Text messages: the AI Receptionist can send text messages, including Missed Call Text-Back and follow-ups. You are responsible for making sure your messages comply with the Spam Act 2003 (Cth), including having consent to message people and honouring opt-outs.
We are not liable for lost business, missed enquiries, or customer dissatisfaction arising from an AI-handled interaction that did not go as expected, except where caused by our negligence.
9. Google Ads Management — Specific Terms
Where you engage us for Google Ads management, we set up and manage campaigns on your behalf using our judgement and industry experience. We do not guarantee any specific number of leads, click-through rate, cost per lead, or return on ad spend — advertising performance depends on many factors outside our control, including competition, seasonality, and changes to Google's own platform and policies.
Your Google Ads account and any advertising spend are subject to Google's own terms and conditions, separate from these Terms.
10. Referral Program
If you refer another trade business to Trade Reach and that business signs up for any paid service and makes its first payment, we will pay you $100 cash. There is no cap on the number of referrals you can be paid for.
The referred business must be new to Trade Reach and not already in discussions with us. You cannot refer yourself or a business you own or control. We may decline or withhold a referral payment where we reasonably believe the rules have not been followed, and we may change or end the Referral Program at any time, without affecting referrals already paid or earned.
11. Your Responsibilities
To deliver our services effectively, we rely on you to provide accurate business information, respond to requests for content or approval in a reasonably timely manner, and let us know promptly if something about your business changes (services offered, pricing, area, hours, etc.) that should be reflected on your website or in your ad campaigns.
Most clients go live within 14 days of us having everything we need. The 14 days start when you return the onboarding form and any content we ask for, and are an estimate, not a guarantee.
12. Acceptable Use
You agree not to use our services to publish or promote unlawful, misleading, defamatory or offensive content, or to engage in conduct that breaches the terms of any third-party platform we use to deliver your services (including Google or our hosting and CRM providers).
13. Limitation of Liability
To the maximum extent permitted by law, Trade Reach's total liability for any claim arising from or in connection with our services is limited to the fees you paid us in the three (3) months prior to the claim arising. We are not liable for indirect or consequential loss, including lost profits or lost business opportunities.
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law.
14. Third-Party Platforms
We build and manage your services using third-party platforms, including HighLevel (our website, CRM and automation platform) Google (for Ads, Business Profile and Analytics), Stripe (for payments), and the AI model provider behind your AI Receptionist. Your use of these platforms, as accessed through our services, may also be subject to their own terms. We are not responsible for outages, policy changes, or service issues caused by these third-party platforms.
15. Changes to These Terms
We may update these Terms from time to time to reflect changes to our services or legal requirements. We will post the updated Terms on this page with a new effective date. Continued use of our services after an update constitutes acceptance of the revised Terms.
16. Governing Law
These Terms are governed by the laws of Queensland, Australia. Any dispute arising from these Terms or our services will be subject to the exclusive jurisdiction of the courts of Queensland.
